PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. By accessing or using the website located at www.thelyonsleague.com (the “Site”), or by purchasing, enrolling in, downloading, or otherwise utilizing any products, courses, coaching programs, memberships, digital content, or services offered by The Lyons League, LLC (the “Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions of Use (the “Terms” or the “Agreement”).
If you do not agree to these Terms, you must immediately discontinue use of the Site and all associated Services.
1. ELIGIBILITY
1.1 The Site and Services are intended solely for licensed dentists, dental professionals, and dental students who are at least eighteen (18) years of age and who seek professional and educational resources.
1.2 By using the Site or Services, you represent and warrant that:
(a) you are at least eighteen (18) years of age;
(b) you are a licensed dental professional, dental student, or otherwise qualified in the field of dentistry; and
(c) you will use the Site and Services solely for lawful, professional, and educational purposes.
1.3 The Company reserves the right, in its sole discretion, to restrict, suspend, or deny access to any individual who does not satisfy the eligibility requirements or who violates these Terms.
2. INTELLECTUAL PROPERTY RIGHTS
2.1 All content made available through the Site or Services, including but not limited to courses, videos, written frameworks, software, branding, logos, images, and downloadable materials (collectively, “Content”), is the sole property of the Company and/or its licensors, and is protected by applicable United States and international copyright, trademark, trade secret, and other intellectual property laws.
2.2 Except as expressly authorized in writing by the Company, you shall not:
(a) copy, reproduce, republish, modify, translate, create derivative works from, distribute, publicly display, publicly perform, or transmit any Content;
(b) sell, resell, sublicense, rent, lease, or otherwise commercially exploit the Content;
(c) share access credentials, course materials, or downloads with any third party; or
(d) remove, obscure, or alter any copyright, trademark, or proprietary notices contained in the Content.
2.3 The Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content strictly for your individual, professional educational purposes. Any other use is strictly prohibited.
3. USE OF SITE AND SERVICES
3.1 You agree to use the Site and Services in full compliance with applicable laws and these Terms. You expressly agree not to:
(a) engage in fraudulent, misleading, or deceptive practices;
(b) upload, post, transmit, or distribute any unlawful, defamatory, obscene, or harmful material;
(c) attempt to gain unauthorized access to the Site, servers, or connected networks;
(d) interfere with or disrupt the integrity, security, or performance of the Site or Services; or
(e) misappropriate, misuse, or unlawfully distribute the Content.
3.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. The Company disclaims liability for unauthorized use of your account.
3.3 The Company may suspend or terminate your access, without notice or refund, if it determines that you have violated these Terms.
4. PAYMENTS, REFUNDS, AND CANCELLATIONS
4.1 All fees are denominated in U.S. Dollars unless otherwise specified. Payment must be made using a valid method accepted by the Company at the time of purchase.
4.2 All sales of digital products, including online courses, downloads, and memberships, are final and non-refundable unless expressly stated in writing at the time of purchase.
4.3 For cohort-based programs, live coaching, or mentorship services, cancellation and refund terms will be communicated separately at enrollment.
4.4 In the event of failed payments, chargebacks, or disputes, the Company may suspend or terminate access to Services until payment obligations are satisfied. You remain liable for any costs of collection, including attorneys’ fees, to the extent permitted by North Carolina law.
5. NO GUARANTEES; NO PROFESSIONAL ADVICE
5.1 The Services are provided solely for educational and professional development purposes. The Company makes no warranties or guarantees of any specific outcomes, including but not limited to revenue increases, patient acquisition, or business success.
5.2 No Content or Service shall be construed as financial, legal, medical, or clinical advice. You are solely responsible for professional decisions, including consulting with licensed advisors when appropriate.
6. PRIVACY POLICY
6.1 Your use of the Site is subject to the Company’s Privacy Policy, incorporated herein by reference. By using the Site, you consent to the collection and use of your information as described therein.
6.2 You may opt out of non-essential communications by using the unsubscribe link in emails or by contacting us directly at [email protected].
7. THIRD-PARTY LINKS
7.1 The Site may contain links to external websites or services not owned or controlled by the Company. The Company assumes no responsibility or liability for third-party sites.
7.2 Access to third-party sites is at your own risk, and you acknowledge that their terms may differ from these Terms.
8. COMMUNITY GUIDELINES
8.1 You agree to:
(a) engage respectfully with members;
(b) refrain from harassment, discrimination, or offensive conduct;
(c) avoid spamming, solicitation, or unauthorized promotion;
(d) not share confidential course materials with non-members; and
(e) not record, copy, or redistribute coaching sessions without prior written consent.
8.2 Violations may result in immediate removal from Services without refund.
9. DISCLAIMERS AND LIMITATION OF LIABILITY
9.1 The Site and Services are provided “AS IS” and “AS AVAILABLE,” without any warranties, express or implied. The Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9.2 To the maximum extent permitted by North Carolina law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.
9.3 In no event shall the Company’s aggregate liability exceed the total fees paid by you in the twelve (12) months preceding the claim.
10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of:
(a) your breach of these Terms;
(b) your misuse of the Site or Services; or
(c) your violation of applicable laws or third-party rights.
11. MODIFICATION OF TERMS
The Company reserves the right to amend these Terms at any time in its sole discretion. Revisions will be posted with an updated “Effective Date.” Continued use of the Site or Services constitutes acceptance of any modifications.
12. GOVERNING LAW AND JURISDICTION
12.1 This Agreement shall be governed by, and construed in accordance with, the laws of the State of North Carolina, without regard to conflict of law principles.
12.2 Any dispute, claim, or controversy arising under or relating to this Agreement shall be brought exclusively in the state courts of Mecklenburg County, North Carolina, or the United States District Court for the Western District of North Carolina. You irrevocably consent to the jurisdiction and venue of such courts.
13. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional agreements incorporated herein, constitute the entire agreement between you and the Company and supersede all prior oral or written understandings.
